Sonaneo Terms of Service
Last updated: October 30, 2026
1. Parties and acceptance. These terms govern the use of Sonaneo, a service of Apphive, Inc. (2810 North Church Street, Wilmington, DE 19802, USA; "we"), by the business that subscribes to it (the "Customer"). Whoever accepts them represents that they can bind the Customer. Sonaneo is a service for businesses, not consumers.
2. The service. Sonaneo provides the Customer with AI voice agents that answer calls over WhatsApp (and, when available, over the phone), using the knowledge the Customer approves, plus transcripts, summaries, metrics, an API and an MCP server. Each plan's features are described on the pricing page or in the order.
3. Price and payment. The Customer pays the plan and minutes per the pricing page or order, in advance and through Stripe. Prices are net: taxes and withholdings applicable to the Customer are borne by the Customer. If a payment fails, we may suspend the service until it's settled. Amounts paid are non-refundable unless the law requires otherwise.
4. Customer responsibilities.
- The content it uploads (knowledge, scripts, the assistant's voice and name) and what the assistant says based on it.
- Complying with the law applicable to its calls: privacy notices to callers, AI and transcription notices where the law requires them (Sonaneo provides them by phone prefix, but the final configuration is the Customer's) and the data protection of its customers.
- Outbound calls: only with the consent each destination's law requires (in the US, prior express written consent for artificial-voice calls), scrubbing against official do-not-call lists, within permitted hours and offering opt-out in the call. Sonaneo only places them if the Customer recorded that consent. The Customer is responsible to third parties and authorities for the calls it orders.
- Not using Sonaneo to deceive, impersonate real people or harass, or for illegal purposes or purposes contrary to WhatsApp's policies.
5. AI. The assistant's replies are generated by AI and may contain errors. The Customer must review the knowledge it approves and not use the assistant for medical, legal or financial decisions without human involvement.
6. Personal data. For the data of people who call the Customer, the Customer is the controller and we are the processor. The Data Processing Agreement (DPA) at https://sonaneo.com/en/dpa applies and forms part of these terms. Our privacy notice explains the data we process as controller.
7. Ownership. The Customer keeps its data and content. We keep Sonaneo, its software and its improvements. The Customer allows us to use its content only to provide the service.
8. Availability. We make reasonable efforts to keep the service running without interruption, but it depends on third parties (WhatsApp, voice and AI providers, phone networks) and we don't guarantee a specific availability unless agreed in writing.
9. Liability. To the extent the law allows, we're not liable for indirect damages or lost profits, and our total liability doesn't exceed what the Customer paid in the 12 months before the event. The Customer indemnifies us against third-party claims arising from its content or from calls made without the required consent or notices.
10. Term and cancellation. The service renews for equal periods until either party cancels before the next period. We may suspend or terminate it if the Customer breaches these terms or the law. On termination, we delete the Customer's data within 30 days, except what we must keep by law, and the Customer may export it beforehand.
11. Changes. We may change these terms with 30 days' notice; if the Customer disagrees, it may cancel before they take effect.
12. Law and jurisdiction. The laws of the State of Delaware (USA) and its courts.
